Terms and Conditions of Service

You must read and agree to the User Agreement and the Terms and Conditions of Service below before registering for and using the services provided by JPEASY SDN. BHD.

1. ACCEPTANCE OF TERMS AND CONDITIONS
JPEASY SDN. BHD. offers purchasing and auction bidding services under the User Agreement and these Terms and Conditions of Service, which may be updated by JPEASY SDN. BHD. at any time without notice. Customers are responsible for reviewing the latest version of the terms and conditions of service.

2. DEFINITIONS

  1. “Customer” means an individual or legal entity that has been duly registered on the JPEASY SDN. BHD. website.

  2. “Agreement” collectively means every rule and agreement displayed on the Website by JPEASY SDN. BHD., including but not limited to the User Agreement and these Terms and Conditions of Service.

  3. “Customer Information” means information disclosed to JPEASY SDN. BHD. by any Customer.

3. SERVICES OFFERED BY JPEASY SDN. BHD.
JPEASY SDN. BHD. offers Customers the following services:

  1. To act on behalf of any Customer upon request to purchase relevant goods through the Website and deliver them to that Customer.

  2. To act on behalf of the Customer upon request to purchase relevant goods through the Website’s auction sales system in Japan and deliver them to that Customer.

4. RESPONSIBILITIES OF JPEASY SDN. BHD.

  1. With respect to the Shopping Service, JPEASY SDN. BHD. shall purchase the relevant goods according to the estimated price and arrange for their delivery only after payment has been made by the Customer.

  2. With respect to the Auction Bidding Service, where a Customer’s bid successfully wins certain goods through the Website, JPEASY SDN. BHD. will purchase those goods according to certain conditions and deliver them to the Customer only after payment has been made by the Customer.

  3. With respect to the Auction Bidding Service, JPEASY SDN. BHD. will bid up to the highest price desired based on the payment made by the Customer. If the bidding exceeds the highest price offered by the Customer, the bidding will be canceled and the payment will be refunded in full.

5. PROHIBITED ITEMS
The items listed below are not allowed to be purchased using JPEASY SDN. BHD.’s purchasing and auction bidding services:

  1. Items defined as illegal under Japanese law or Malaysian law.

  2. Items that may harm public harmony and morality.

  3. Any type of item that may cause or encourage criminal activity.

  4. Any kind of dangerous product that may endanger human life and health.

  5. Any kind of illegal adult product or products that may encourage violence, etc.

  6. Any non-functioning goods.

  7. Living organisms including but not limited to animals, plants, bacteria, viruses, fungi, and others.

  8. Any explosive or flammable item.

  9. Cultural heritage property.

  10. Any type of product that may infringe the intellectual property of a third party or affect the dignity and privacy of a third party.

  11. Any type of product that may affect the other rights of a third party.

  12. Oversized products that may not be deliverable due to size/weight restrictions.

  13. Alcohol, alcoholic beverages, perfumes containing alcohol, and the like.

  14. Products prohibited from export.

  15. Any item deemed inappropriate by JPEASY SDN. BHD.

6. PROHIBITED CONDUCT
When using JPEASY SDN. BHD.’s services, Customers are prohibited from:

  1. Purchasing or bidding on products prohibited by JPEASY SDN. BHD.

  2. Engaging in any activity contrary to this Agreement and/or other JPEASY SDN. BHD. guidelines.

  3. Engaging in any activity that may harm the reputation and business operations of JPEASY SDN. BHD. or its partners.

  4. Any other activity deemed inappropriate by JPEASY SDN. BHD.

7. DISCLAIMER AND LIMITATION OF LIABILITY

  1. In relation to the Shopping Service, JPEASY SDN. BHD. makes no representations or warranties, including but not limited to those relating to the vendor, quality, non-infringement of any party’s rights, reliability, and/or legal compliance of the relevant goods.

  2. In relation to the Auction Bidding Service, JPEASY SDN. BHD. makes no representations or warranties, including but not limited to the truthfulness, accuracy, or reliability of the content, legal compliance, or non-infringement of any party’s rights with respect to any auction sale.

  3. JPEASY SDN. BHD. shall not be liable for any damage suffered by a Customer caused by any stoppage, delay, interruption, or loss of data resulting from communication line and/or system disruptions due to computer failure.

  4. JPEASY SDN. BHD. shall not be liable for any damage suffered by any Customer caused by the Customer’s own breach of this Agreement.

  5. JPEASY SDN. BHD. shall not bear any liability for any damage suffered by any Customer arising out of or in connection with the Services unless it occurs as a result of intentional negligence by JPEASY SDN. BHD.

8. REGISTRATION

  1. Any individual or legal entity that agrees to the terms and conditions of service may register on the Website.

  2. Membership registration for individuals must be applied for personally, and no proxy registration will be accepted.

  3. Membership registration for a legal entity must be applied for in the name of that entity by an officer or employee with valid authorization.

  4. JPEASY SDN. BHD. may, at its sole discretion, reject any registration application.

9. FEES
Fees, including but not limited to the calculation method and payment terms, shall be in accordance with conditions separately set by JPEASY SDN. BHD., which may be modified or amended by JPEASY SDN. BHD. from time to time.

10. PAYMENT OF FEES
The Customer must make payment covering the price of the goods and related charges before JPEASY SDN. BHD. purchases the goods.

11. ORDER CANCELLATION
The Customer may not cancel an order after the goods have been purchased.

12. REFUND POLICY
JPEASY SDN. BHD. does not accept returns of items and does not issue refunds for items that have been purchased, except in the case of an auction bid exceeding the maximum price offered by the Customer.

13. TERMINATION OF MEMBERSHIP
Any Customer may, by their own will and action, terminate membership according to the procedures on the Website. Once the membership termination procedure is completed, the relevant Customer will lose their status as a Customer.

14. CANCELLATION OF MEMBERSHIP

  1. JPEASY SDN. BHD. may suspend the use of the Services by any Customer, change their ID and password, and terminate their status as a Customer if the Customer:

    1. has provided false information during membership registration or provided such false information when using the Services,

    2. violates laws and regulations or the terms and conditions of service,

    3. engages in dishonest conduct in using the Services,

    4. enters their password incorrectly more than the permitted number of times or performs other acts that may cause JPEASY SDN. BHD. to take necessary measures to ensure that Customer’s security.

    5. JPEASY SDN. BHD. disclaims any liability whatsoever for any deficiency or damage suffered by any Customer whose membership has been canceled or suspended.

15. CHANGES TO THE SERVICES
JPEASY SDN. BHD. may, at its sole discretion, with or without prior notice to the Customer, change or delete all or part of the Services at any time.

16. CHANGES TO THE TERMS AND CONDITIONS OF SERVICE

  1. JPEASY SDN. BHD. may, at its sole discretion, alter, change, amend, or modify part of the terms and conditions of service from time to time without any prior notice. Such changes, alterations, amendments, and/or modifications shall take effect when posted on the Website.

  2. By using any of the Services after such changes, alterations, amendments, and/or modifications, the User is deemed to agree to the amended, altered, revised, and modified terms and conditions.

17. JURISDICTION

  1. The conclusion, validity, construction, enforcement, and/or resolution of disputes concerning the terms and conditions of service shall be governed by Japanese law, and the United Nations Convention on Contracts for the International Sale of Goods shall not apply.

  2. The Customer and JPEASY SDN. BHD. hereby agree to submit to the exclusive jurisdiction of the district court located in Osaka, Japan as the first step in resolving any dispute arising out of or in connection with the terms and conditions of service. The Customer and JPEASY SDN. BHD. further agree that no other court or dispute resolution institution shall have jurisdiction.

  3. The Customer and JPEASY SDN. BHD. must perform their responsibilities set out in the terms and conditions of service until the relevant dispute is properly resolved.
